1. Acceptance of Terms
Welcome to the Grizzl-E Connect mobile application (the "App"). By accessing or utilizing the App, you hereby acknowledge and agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you ("User," "you," or "your") and United Chargers Inc. ("United Chargers," "we," "us," or "our"). If you do not agree to these Terms, you are required to discontinue use of the App immediately.
2. User Account and Registration
In order to access certain features of the App, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to promptly update such information as necessary to ensure its accuracy. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You shall notify United Chargers immediately of any unauthorized use of your account or any other breach of security.
3. Permitted Use of the App
The App is intended for use by individuals who either own or operate Grizzl-E charging stations, as well as by other users interested in managing or utilizing charging services provided through the App. You agree to utilize the App strictly for lawful purposes and in accordance with all applicable laws and regulations. You further agree that you shall not use the App to engage in any fraudulent, illegal, or unauthorized activities, including but not limited to tampering with the App or attempting to gain unauthorized access to its systems or networks.
Users are solely responsible for the accuracy, completeness, and legality of any information they provide through the App. United Chargers assumes no responsibility for verifying the accuracy or legality of such information and shall not be liable for any consequences resulting from incorrect, incomplete, or misleading data submitted by users.
4. Data Collection and Privacy
By using the App, you expressly acknowledge and consent to the collection, use, and disclosure of your personal information and technical data as described in our Privacy Policy. Such collection may include information relating to your charging station(s). The Privacy Policy is incorporated herein by reference and constitutes an integral part of these Terms. You agree to review the Privacy Policy carefully and to comply with its terms.
5. Intellectual Property Rights
All content, features, and functionality provided through the App, including but not limited to text, graphics, logos, images, and software, are the exclusive property of United Chargers or its licensors and are protected under copyright, trademark, and other intellectual property laws. United Chargers grants you a limited, non-exclusive, non-transferable, revocable license to use the App solely for its intended purposes. You agree not to reproduce, modify, distribute, create derivative works from, reverse engineer, or disassemble any part of the App, except as expressly permitted by these Terms or applicable law.
United Chargers reserves the exclusive right to manage, claim, and benefit from any environmental commodities that may be generated by the supply of electricity to electric vehicles, including but not limited to compliance credits under Low-Carbon Fuel Standards or Canada's Clean Fuel Regulations. Any potential generation or use of such environmental commodities by users shall be subject to a separate agreement with United Chargers.
6. Limitation of Liability
To the fullest extent permitted by applicable law, United Chargers shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising out of or relating to your use of, or inability to use, the App, even if United Chargers has been advised of the possibility of such damages. United Chargers makes no representations or warranties of any kind regarding the reliability, accuracy, availability, or performance of the App, and expressly disclaims all warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
7. Modification, Suspension, and Termination
United Chargers reserves the right, at its sole discretion, to modify, suspend, or terminate the App, or any part thereof, at any time, without prior notice. Additionally, United Chargers reserves the right to revise these Terms from time to time, and such modifications shall become effective upon posting within the App. By continuing to use the App after any changes are posted, you agree to be bound by the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the App immediately.
8. Governing Law and Jurisdiction
These Terms shall be governed by, and construed in accordance with, the laws of the jurisdiction in which United Chargers is headquartered, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or your use of the App shall be subject to the exclusive jurisdiction of the courts located within that jurisdiction, and you hereby consent to the personal jurisdiction of such courts.

10. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and United Chargers with respect to your use of the App, and supersede all prior or contemporaneous agreements, communications, or understandings, whether written or oral, regarding such subject matter.
